1. Acceptance of Terms
By creating an account or using the Landwich platform ("Landwich", "we", "us"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, please do not use the platform.
2. What Landwich Is
Landwich Real Estate Investment Limited (RC 8320543) operates a platform that divides verified real estate into fractional units ("Blocks"). Purchasing a Block makes you a legal co-owner of a proportional share of the underlying property, evidenced by a digital Block Certificate. Landwich is not a bank, deposit-taking institution, or licensed investment adviser.
3. Eligibility & Account Registration
You must be at least 18 years old and legally capable of entering a binding contract under Nigerian law to use Landwich. You must complete identity verification (KYC) with accurate, current information before purchasing Blocks. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
4. Investment Risk Disclosure
Real estate investment carries risk, including the risk of loss of capital, illiquidity, and fluctuation in property valuation. Past appreciation or projected returns shown on the platform are estimates, not guarantees. You should only invest funds you can afford to have tied up for the medium-to-long term, and should seek independent financial advice if you are uncertain whether an investment is suitable for you.
5. Payments, Wallet & Fees
All payments are processed through Paystack, a licensed Nigerian payment processor. Funds are held in your Landwich wallet before being applied to Block purchases. An issuance fee (disclosed at the time of purchase) applies to primary Block purchases to cover legal due diligence, valuation, and fractionalization costs. A platform fee applies to secondary (P2P) marketplace sales. Auto-Invest plans, where enabled, debit your linked bank account on a recurring basis via a Direct Debit mandate you explicitly authorize, and can be paused or cancelled at any time from your dashboard.
6. Ownership, Certificates & the 80% Threshold
Each Block purchase is evidenced by a digital Block Certificate bearing a unique, verifiable certificate number. When an investor's holding in a single property reaches the platform's full-ownership threshold (currently 80%), that investor may initiate a full ownership acquisition process, subject to the compensation and process terms applicable at that time, which will be communicated in-app.
7. P2P Marketplace
Verified investors may list and purchase Blocks from one another on the secondary marketplace, subject to platform rules including right-of-first-refusal provisions for majority holders where applicable. Landwich facilitates these transactions but is not a party to them and does not guarantee the availability of buyers or sellers at any given time or price.
8. Account Suspension & Termination
Landwich may suspend or terminate an account that provides false information, engages in fraudulent activity, or violates these Terms. Suspension of an account does not affect an investor's underlying ownership of Blocks already legally purchased, though it may restrict platform access pending resolution.
9. Limitation of Liability
To the fullest extent permitted by Nigerian law, Landwich shall not be liable for indirect, incidental, or consequential losses arising from your use of the platform, including losses arising from property market fluctuations, third-party payment processing delays, or events outside our reasonable control.
10. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria, without prejudice to any applicable alternative dispute resolution process Landwich may offer.
11. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or an in-app notice before they take effect. Continued use of Landwich after changes take effect constitutes acceptance of the updated Terms.
